PUBLIC OFFER AGREEMENT for the sale of original artworks. Please read the text of this Agreement. If you do not agree with any of its provisions or do not understand a particular clause, we suggest declining to place an order or seeking clarification at contact@haydamaka.com.
By accepting the terms of this public offer, you agree to all of its terms and confirm that you have understood all of its provisions. The offer (public offer) and the text of the Agreement set out below are addressed to natural persons and constitute an official public proposal (in accordance with Article 641 of the Civil Code of Ukraine) by sole proprietor Lytvynchyk Olha Oleksandrivna (Tax ID: 3320413983), hereinafter referred to as the "Seller", on the terms specified by the Agreement, in respect of the selected list of goods placed on haydamaka.com. The Agreement is deemed concluded under Article 642 of the Civil Code of Ukraine and acquires the force of an official accession agreement from the moment you perform the actions provided for in clause 4.5 of this Agreement, which constitute full and unreserved acceptance of all the terms of the Agreement without any exceptions and/or limitations.
1. General Provisions
Each Party warrants to the other Party that it has the necessary legal capacity, as well as all rights and powers necessary and sufficient for the conclusion and performance of the Agreement in accordance with its terms. The current version of this Agreement is at all times posted on the Seller's Site and shall be made available for the Buyer's review prior to acceptance of the terms of the Agreement.
2. Terms Used in This Agreement
Buyer — a natural person who has reached the age of 18 and has full civil legal capacity, who has placed an order for the purchase of goods on the Seller's Site.
Seller — sole proprietor Lytvynchyk Olha Oleksandrivna (Tax ID: 3320413983), engaged in the sale of goods through the online store haydamaka.com.
Seller's Site — the set of web pages accessible on the Internet under the domain name haydamaka.com.
Goods — original products and other goods presented on the Seller's Site.
Hereinafter in the text of the Agreement, the Buyer and Seller are also collectively referred to as the "Parties", and individually as a "Party".
3. Subject of the Agreement
The subject of this Agreement is the sale by the Seller of Goods to the Buyer in accordance with the selected list placed on the Seller's Site, on the terms specified by the Agreement.
This Agreement governs the sale and purchase of goods in the online store, namely:
- Voluntary selection by the Buyer of goods on the Site
- Independent placement by the Buyer of an order
- Payment by the Buyer of the order via a chosen method
- Processing and delivery of the order to the Buyer on the terms of this Agreement
4. Order Placement Procedure
The Agreement is concluded between the Buyer and the Seller in the form of an accession agreement (Article 634 of the Civil Code of Ukraine). Acceptance of the terms of the Agreement constitutes full and unreserved acceptance by the Buyer of all the terms of the Agreement without any exceptions and/or limitations and is equivalent to the conclusion of a bilateral written sale and purchase Agreement.
The Buyer accepts the Agreement after reviewing its terms set out on the Seller's Site, by performing collectively or individually any of the following actions:
4.1. Filling in by the Buyer of the order form placed on the Seller's Site.
4.2. Payment by the Buyer of the order at the prices specified on the Seller's Site.
Any of the actions specified in clause 4 performed by the Buyer indicates that the Buyer is familiar with this Agreement and agrees to its terms in full.
The Agreement is deemed concluded and enters into force from the moment of acceptance and remains in effect throughout the entire period of the Parties' performance of obligations or until termination on the grounds defined by the terms of the Agreement and/or the current legislation of Ukraine.
The conclusion of the Agreement means that the Buyer:
4.3. Has reviewed the rules for the sale of goods to the extent necessary.
4.4. Acknowledges the rules for performing all actions described in this Agreement.
4.5. Accepts all terms of the said Agreement without comments.
5. Settlement Procedure
Goods are provided to the Buyer on a paid basis through payment by the Buyer for the selected goods in accordance with the prices specified on the Seller's Site. Available payment methods:
- Card payment online via the secure monobank acquiring service (Visa, Mastercard, Apple Pay, Google Pay)
- Bank transfer to the sole proprietor's account (available only from Ukrainian banks)
Detailed payment terms are set out on the "Delivery & Payment" page of the Seller's Site.
Payment is made in Ukrainian hryvnias (₴). The price specified at the time of order placement is final for that order. The Seller reserves the right to change the prices of goods until the moment of order placement. The displayed price already includes any destination-specific charges the sender is required to pay before hand-off (for example, import duties for selected countries).
6. Rights and Obligations of the Seller
The Seller is obliged to:
6.1. Prior to the sale, provide the Buyer with this Agreement and information about the goods by publication on the Seller's Site for review.
6.2. Arrange the delivery of goods to the Buyer in accordance with the chosen delivery method.
6.3. Ensure proper packaging of the goods for safe transport.
6.4. Promptly notify the Buyer of the impossibility of fulfilling the order. The Seller bears no liability for late notification if the Buyer provided outdated contact details.
The Seller has the right to:
6.5. Refuse to process the Buyer's order in the event of objective reasons: unavailability of the goods, technical issues with payment, inaccurate Buyer contact details, etc.
6.6. Suspend the sale of goods if the Buyer fails to perform their financial obligations to the Seller in a timely manner.
6.7. Make unilateral changes to this Agreement, including the prices of goods, with prior publication on the Seller's Site. Changes in the prices of goods do not apply to Buyers who have already paid for the chosen goods.
7. Rights and Obligations of the Buyer
The Buyer is obliged to:
7.1. Throughout the entire period of performance of obligations, comply with this Agreement.
7.2. When placing an order, provide accurate personal data and contact information.
7.3. Promptly receive the ordered goods from the carrier.
7.4. Verify upon receipt that the received goods match the description on the Site.
The Buyer has the right to:
7.5. Use the goods in accordance with the terms of this Agreement.
7.6. Demand from the Seller fulfilment of the requirements of this Agreement.
7.7. Contact the Seller with questions, suggestions and complaints.
8. Delivery of Goods
Delivery is carried out by the methods listed on the "Delivery & Payment" page of the Seller's Site. The risk of accidental loss or damage to the goods passes to the Buyer from the moment the goods are handed over to the carrier. The Seller is always willing to assist the Buyer in communicating with the carrier should any delivery issues arise.
9. Returns and Exchange of Goods
In accordance with the Law of Ukraine "On Consumer Protection", the Buyer has the right to return goods within 14 days of receipt, provided that the goods have retained their marketable appearance, consumer properties and the documents confirming the fact of purchase.
In accordance with the resolution of the Cabinet of Ministers of Ukraine, goods made to individual order are not subject to return.

10. Copyright
All works presented on the Site are subject to copyright owned by the Seller in accordance with the Law of Ukraine "On Copyright and Related Rights". The purchase of a product grants the Buyer ownership of the physical item, but does not transfer copyright in the underlying work itself.
The Buyer may not, without the written consent of the Seller:
- Reproduce, copy or replicate the purchased work in any form
- Use the image of the work for commercial purposes
- Create derivative works based on the purchased work
The Buyer has the right to display the purchased work in private and public spaces with mandatory mention of the artist's name.
11. Liability of the Parties
11.1. The Seller bears liability to the Buyer in the amount of the documented payment for the goods.
11.2. The Seller bears no liability for the Buyer's losses arising from the refusal to sell goods in accordance with the terms of this Agreement.
11.3. The Seller bears liability only for those obligations specified in the Agreement and the current legislation of Ukraine.
11.4. The Buyer bears full responsibility for the accuracy of the information provided when placing an order. If the Buyer has not provided or has incorrectly provided personal data, the Seller bears no liability for the Buyer's losses incurred as a result of the impossibility of correctly identifying the Buyer or delivering the goods.
11.5. The Parties are released from liability for full or partial non-performance of their obligations under this Agreement if such non-performance is the result of force majeure circumstances that arose after the entry into force of this Agreement as a result of extraordinary events: natural disasters, acts of war, decisions of state authorities, technical failures, which could not have been foreseen and which it was impossible to prevent by reasonable measures.
11.6. In other cases of non-performance or improper performance of their obligations under the Agreement, the Parties bear liability in accordance with the legislation of Ukraine.
12. Amendment and Termination of the Agreement
The Seller has the right to unilaterally amend the Agreement by publishing the changes on the Site. The changes enter into force from the moment of publication, unless another deadline is additionally specified. When making material changes to the Agreement that affect the Buyer's ability to use the services, the Seller shall notify of them by publication on the Site at least one day prior to the entry into force of such changes.
The Agreement may be terminated:
12.1. Upon the Buyer's decision to refuse the goods before they are dispatched.
12.2. By mutual agreement of the Parties.
12.3. On other grounds provided for by this Agreement and/or the current legislation of Ukraine.
13. Dispute Resolution
All disputes and disagreements that have arisen or may arise in connection with the improper performance of the requirements of this Agreement shall be resolved through negotiations on the basis of a written submission by one Party to the other.
Upon receipt of a complaint from the Buyer, the Seller is obliged to consider it within 5 (five) business days and send the Buyer a written reasoned response.
If the dispute between the Parties is not resolved through the complaint procedure, either Party has the right to apply for resolution of the dispute to the court at the Seller's place of location.
14. Other Provisions
14.1. The Buyer warrants that all terms of this Agreement are clear to them and that they accept them unconditionally and in full.
14.2. On matters not regulated by this Agreement, the Parties undertake to be guided by the rules of the current legislation of Ukraine.
14.3. The Parties undertake to ensure the protection of personal data in accordance with the Law of Ukraine "On Personal Data Protection". The processing of the Buyer's personal data is carried out in accordance with the Privacy Policy published on the Site.
14.4. The Seller under this Agreement is sole proprietor Lytvynchyk Olha Oleksandrivna.
